I'm afraid I don't understand what are the *.txt files in CS2 for...
The fonts directory usually is C:/WINDOWS/Fonts

Are you windows?
Just open up my documents and in the address bar put ' Fonts ' ... its easier than putting the whole C:/WINDOWS/Fonts.
www.dafont.com and try and get some more instead of ur .txt files.
I though .txt files were writing like readme's and .NFOs, not fonts.

If its in a .zip open the zip then right click on the text / fotn file and extract to folder then put in c://windows/fonts in the address bar... it is so simple but im porbably confusing you.

the .txt files are probably read me files and copyright files or something.

in the folder you should have a file with the extension .ttf which is the actual font file.

select this, and copy (cntrl+C).
go to c: -> WINDOWS -> Fonts in windows explorer.
paste (cntrl+V).

now open photoshop, and select the font tool. now go to the font type selector and scroll down till you find the name of the .ttf file you downloaded.

for example if it was called Stus_Font.ttf the scroll down to the font called Stus_Font

apologies if im patronising you...
